<p style="text-align: justify;">Recognition has been accorded to Chartered Secretaries in Singapore in:</p>
<p style="text-align: justify;"><strong>Companies Act (Cap. 50) Section 171 (1) (1A) (1AA) (c):</strong></p>
<p style="text-align: justify;"><strong> </strong></p>
<p style="text-align: justify;">171.</p>
<p style="text-align: justify;">(1) Every company shall have one or more secretaries each of whom shall be a natural person who has his principal or only place of residence in Singapore.</p>
<p style="text-align: justify;">(1A) It shall be the duty of the directors of a company to take all reasonable steps to secure that each secretary of the company is a person who appears to them to have the requisite knowledge and experience to discharge the functions of secretary of the company.</p>
<p style="text-align: justify;">(1AA) In addition, it shall be the duty of the directors of a public company to take all reasonable steps to secure that each secretary of the company is a person who</p>
<p style="text-align: justify;">(c) is a qualified person under the Legal Profession Act (Cap. 161), a public accountant, a member of the Singapore Association of the Institute of Chartered Secretaries and Administrators, or a member of such other professional association as may be prescribed; ……”</p>
<p style="text-align: justify;"><strong>Business Trust Act (Cap 31A) Section 7 (1) (b):</strong></p>
<p style="text-align: justify;">“7. (1) The trustee-manager of a registered business trust shall ensure that its secretary is a person who (b) is a qualified person under the Legal Profession Act (Cap. 161), a public accountant, a member of the Singapore Association of the Institute of Chartered Secretaries and Administrators or a member of such other professional association as may be prescribed; …”</p>

A Company Secretary is the backbone of a company overseeing the compliance status on a continuing manner.ICSI conducts examinations for acquiring membership in the institute.Membership is primarily Associate and then Fellow. As per the provsio to Section 383 A of the Companies Act, 1956, all the companies having a paid up capital of Rs. 200 M is mandataorily requried to appoint a Whole time Company Secretary. Those companies having a paid capital greater than Rs. 10 M and less than Rs. 200 M are requried to procure Compliance Certificate from a Practising Company Secretary which has to be annexed to the Directors&#8217; Report along with the Annual Accounts. Thus there are two areas in the career Viz. In whole time employment and whole time Practice.</p>
<p>As per the Companies Act 1956, if the company is having more than Rs. 5 crore of paid up share capital, it is mandotary to appoint a full time Company Secretary, and if company has a paid up capital of Rs. 10 lakhs and more but less than Rs. 5 crores, it has to file with Registrar of Companies a compliance certificate from a Practicing Company Secretary.</p>

</strong><br />
As per clause 178, every company belonging to such class or descripttion of companies as may be prescribed shall have Whole-Time Key Managerial Personnel (KMP).</p>
<p><strong>A Company Secretary is a KMP, as defined in clause 2(zza):<br />
</strong><br />
· Clause 2 (zza) -</p>
<p>“Key Managerial Personnel, in relation to a company, means—<br />
(i) the Managing Director, the Chief Executive Officer or the Manager and where there is no Managing Director or Manager, a whole-time director or directors;<br />
(ii) the Company Secretary; and<br />
(iii) the Chief Financial Officer;”</p>
<p>As per clause 178 of the Companies Bill, 2009, every prescribed company shall have whole-time Key Managerial Personnel. As per clause 2(zza) of the Bill, 2009, Company Secretary along with MD/CEO and CFO is a Key Managerial Personnel. Therefore, as per clause 178 read with 2(zza) all the three Key Managerial Personnel i.e. MD/CEO, CS and CFO are required to be appointed in every company belonging to such class or description of companies as may be prescribed.</p>

<p>The Society of Corporate Secretaries and Governance Professionals, Inc. (the &#8220;Society&#8221;), founded in 1946 as the American Society of Corporate Secretaries, has over 3,800 members representing approximately 2,600 companies. Its members deal with public disclosure under the securities laws and matters affecting corporate governance, including the structure and meetings of the board of directors and its committees, the proxy process and the annual meeting of shareholders and shareholder relations, particularly with large institutional owners.</p>

<p>A candidate who has passed the Final examination of the Institute is required to possess the practical experience and undergo the practical training or be exempted therefrom as prescribed in the Regulations for becoming eligible to the Associate Membership of the Institute. </p>
<p>The objectives of training is to  apprise the students with the functioning of the Corporate Sector and to create a cadre of professional Company Secretaries having a sound theoretical base and practical exposure to serve trade and industry effectively, both as a part of the management team as well as independent practising professionals.</p>
<p><strong>Training</strong></p>
<p>Students who do not possess the specified practical experience are required to undergo on the job training for a period of fifteen months in recognised companies or under a Company Secretary in Practice duly approved for the purpose.</td>

<td>In addition the students are also required to undergo 3 Month practical training. The practical training is however exempted for students who have undergone 15 months training in a company or under a Company Secretary in Practice.During the training period efforts are made to develop managerial abilities with emphasis on legal/secretarial/finance areas and to build commercial orientation, problem solving approach and insight into the emerging business environment and to provide extensive practical exposure of various functions which a Company Secretary is required to perform.</p>
<p>Most importantly, stress is laid on building self confidence in the trainees to enable them to deal with routine as well as crisis situations without undue dependence on external help. </p>
<p>A large number of companies and Company Secretaries in Practice located all over India have been empanelled for imparting training to the students of the Institute.</td>

<h3>Stages to become a Company Secretary</h3>
<p>The student who would like to join the Course after 10+2 has to undergo three stages to pursue the Company Secretaries Course i.e. </p>
<p>Foundation Programme, Executive Programme &amp; Professional Programme. </p>
<p>In addition, the student has to undergo Practical Training  for about 15 months which a student may opt to start after passing the Executive  Programme.   </p>
<p>The Student who would like to join the Course after passing the Graduation has to undergo two  stages of the Company Secretaryship i.e.                                                                                          </p>
<p> Executive Programme &amp; Professional Programme.</p>
<p>Besides, the student has to undergo Practical Training  for about 15 months. </p>
<p>Foundation Programme which is of eight months duration can be pursued by 10+2  pass students of Arts, Science or Commerce stream. Executive Programme can be pursued by a Graduate of all streams except Fine Arts.  </p>
<p>Professional Programme can be pursued only after clearing the Executive Programme of CS Course.  <strong>Training:</strong> A<strong> </strong>Student has to undergo <strong>15 months Management Training</strong> in Companies sponsored by the Institute after passing the Executive  or Professional Programme or under the guidance of a Company Secretary in Practice.  </p>
<p>After qualifying Professional Examination and on successful completion of training a candidate is admitted as an <strong>Associate Member of the ICSI</strong> and can use the letters <strong>ACS</strong> after his/her name i.e. <strong>Associate Company Secretary</strong>. <strong>Admission to the CS Course is open throughout the year.  Examinations are held twice a year in June &amp;  December.</strong></p>
